1. Introduction

Welcome to MetricMosaic! These Terms of Service ("Terms") govern your use of MetricMosaic Inc.'s ("MetricMosaic," "we," "our," or "us") platform, services, and website (https://metricmosaic.io). By accessing or using our services, you agree to be bound by these Terms. If you do not agree, please refrain from using our services.

2. Account Registration & User Responsibilities

• MetricMosaic is designed for Shopify sellers and agencies/vendors representing Shopify merchants. Support for additional platforms may be added in the future.
• Users must be at least 18 years old to create an account.
• Both individuals and corporations may create accounts.
• "Seller" accounts are limited to a single Shopify store, while "Agency" accounts can connect multiple stores and associated data sources based on plan limits.
• Users are responsible for maintaining the security of their account credentials. If unauthorized access is suspected, users should contact support immediately at privacy@metricmosaic.io.

3. Pricing, Payments & Subscriptions

MetricMosaic offers a tiered pricing structure for both sellers and agencies. All plans are billed monthly and can be canceled at any time.

A. Pilot Program

• Users invited to the Pilot Program before February 21, 2025, may use MetricMosaic for free until April 15, 2025, with no obligation.
• After April 15, 2025, pilot users must select a paid plan to continue using MetricMosaic.
• Selecting a plan grants access to a free trial based on the chosen plan.
• Payment details are required at the start of the trial. If a user does not cancel before the trial ends, automatic billing will begin.

B. Free Trials & Plan Selection

• Trial length may vary, with incentives for early plan selection. By the end of the pilot phase, all trials will be standardized to one month.
• Users can cancel at any time before the trial ends to avoid charges.

C. Subscription Plans & Pricing

For Sellers:

• Standard Plan: $299/month (for Shopify sellers with $1M-$5M GMV/year)
• Plus Plan: $399/month (for Shopify sellers with $5M-$20M GMV/year)
• Premium Plan: $599/month (for Shopify sellers with $20M-$50M GMV/year)

For Agencies:

• Growth Plan: $1,099/month (supports up to 6 clients)
• Hyper Growth Plan: $2,999/month (supports up to 12 clients)
• Light Speed Plan: $6,499/month (supports up to 18 clients)
• Additional clients can be added for a per-client fee based on the plan.

D. Billing & Cancellation

• All plans are billed monthly.
• If a user cancels mid-billing period, access continues until the end of the period, but no partial refunds are provided.
• Users must enter valid payment details to initiate a trial. If a trial ends and no cancellation occurs, billing will start automatically.

4. Service Availability & AI Disclaimer

• MetricMosaic does not guarantee 100% uptime. While we strive for high availability, occasional downtime may occur due to maintenance or unexpected issues.
• AI Disclaimer: Some insights in Mosaic Live are generated using AI and may not always be accurate. Users should independently verify AI-generated recommendations before making business decisions.

5. Data Ownership & Privacy

• Users retain ownership of any data they upload to MetricMosaic.
• MetricMosaic may process, analyze, and display user data within the platform but does not sell personal data.
• If an account is deleted, user data will be permanently removed within 30 days.
• We reserve the right to terminate accounts for misuse, non-payment, or extended inactivity.

6. Limitations of Liability

• MetricMosaic is provided "as is" with no warranties of uninterrupted service, accuracy, or merchantability.
• We are not liable for indirect damages, lost profits, or business losses resulting from service use.
• Indemnification Clause: Users agree to indemnify and hold MetricMosaic harmless against claims arising from misuse of the platform.

7. Governing Law & Dispute Resolution

• These Terms are governed by the laws of Delaware, USA.
• Arbitration Clause: Any disputes shall be resolved via binding arbitration in Delaware, rather than in court.

8. Updates to Terms of Service

• MetricMosaic may update these Terms periodically. Users will be notified via email and/or in-app notifications.
• Continued use after updates implies acceptance. No additional agreement is required.
